How large a board of directors and pitfalls?

I have a small C-Corp that I am positioning for OTC listing. How large should a Board of Directors be and what are the possible pittfalls of in choosing Board members?

1. There have been entire books written on this subject. I could not possibly give you enough information in the space provided. I suggest you start searching on your own and reading up on the subject.
2. The size should be in your bylaws.
   
   
   
   My advice is to have no more than is absolutely necessary, and always a prime number of directors, so they can't stalemate on a vote.
3. as small as possible but repectable. The more people on the board the higher the risk of dsicord. I would say 3 to 5 for a C-corp, put in your bylaws. Always an odd number to ensure there is no locked decisions.
