How large a board of directors and pitfalls?
I have a small C-Corp that I am positioning for OTC listing. How large should a Board of Directors be and what are the possible pittfalls of in choosing Board members?

- There have been entire books written on this subject. I could not possibly give you enough information in the space provided. I suggest you start searching on your own and reading up on the subject.
- The size should be in your bylaws.
My advice is to have no more than is absolutely necessary, and always a prime number of directors, so they can't stalemate on a vote.
- as small as possible but repectable. The more people on the board the higher the risk of dsicord. I would say 3 to 5 for a C-corp, put in your bylaws. Always an odd number to ensure there is no locked decisions.
